Binding effect

This is a binding agreement (the “Agreement”). By using the site EcomGent.com (the “Site”) or any content or services provided in connection with the Site (the “Service”), you agree to abide by these Terms and Conditions, as they may be amended by JAG Auction Gallery LLC (the “Company” or “we”) at any time.

Informational purposes only

You agree that you will not slander or make derogatory comment either spoken or written or otherwise disparage JAG Auction Gallery LLC, EcomGent.com, or any of its colleagues, employees, or independent contractors.

Prohibited activities

While using the Site or Service you agree to refrain from activities that are harmful to the Site or Service including but not limited to using abusive language, posting defamatory content, spamming, or attempting to infect the website or app with malware.

Spam policy

You may not use the Site, Service, or content to engage in shady marketing activities, including without limitation spamming.

Payment

You agree to pay any prices as listed. For recurring billing, you authorize Company or its payment processor to initiate debit charges from your supplied payment source.

Lifetime membership

If you are granted a lifetime membership in the Site or Service you understand and agree that the lifetime membership is guaranteed for as long as the Site continues operating and that if the Site is discontinued then you will lose the lifetime membership. You could also lose the lifetime membership if your account is terminated in accordance with the Termination clause of these Terms and Conditions.

Content

Company reserves the right to add and remove any content, including membership features, to and from the Site or Service at any time without prior notification.

Refund policy

We offer a 30-day money-back guarantee, no questions asked. If you are not satisfied with the membership then let us know within 30 days of joining the membership and we will give you a refund. The refund amount will be the total payment for the product minus the payment processing fee if it’s not refunded by the payment processor and any other amount that we are unable to refund for any reason.

Marketing

You will comply with policies set forth by the Federal Trade Commission (FTC) with all marketing efforts. If you’re invited to promote the Site, you must disclose your affiliate relationship and refrain from using hype or high-pressure to facilitate sales. You will market in compliance with the CAN-SPAM Act at all times with each email sent. We have the right to withhold or cancel any commissions that you earn promoting the Site due to refunds, fraud, or suspicion of fraud.

In most cases, Company will be compensated for any purchases you make as a result of clicking those links. Warranties

Company does not issue warranties of any kind.

Right to erasure and right to restrict processing

If you exercise your right to erase your personal data from our data stores or your right to restrict processing of your personal data, you may lose access to your membership in the Site or Service and it will be your responsibility to cancel any active subscription with our payment processor. Termination

We may terminate your access to the Site or Service at any time and without notice if the terms of the Terms and Conditions agreement is violated, and for any reason at the discretion of the Company, which may result in the forfeiture and destruction of all information associated with your account. You will immediately lose access to your account and all gated content on the Site upon termination. All provisions of this Agreement that, by their nature, should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Copyright infringement

If you believe in good faith that JAG Auction Gallery LLC has violated your copyrights and you want Company to delete, edit, or disable the content in question, you must provide the exact URL where the infringement has taken place, a clear description of the violation, and a contact name and number.

Limited liability

To the absolute fullest extent that is allowed by law, in no scenario will Company be liable for damages of any kind including, but not limited to, loss of profits or investment. You have read and understood the Earnings Disclaimer listed on the Site.

Indemnity

You agree to indemnify, defend, and hold Company free from and against all actions, claims, demands, proceedings, liabilities, damages, judgments, settlements, fines, penalties, costs, and expenses, including attorneys’ fees and related costs, regardless of attributing circumstances or actions.

Governing law

These Terms and Conditions shall be followed in accordance with the laws of the United States of America and the State of Delaware.

Modifications

Miscellaneous

No agency, partnership, joint venture, or employee-employer relationship is intended or created by this Agreement.
